myClerk Terms of Use and AI Services Agreement

1. Acceptance of Terms

By accessing or using myClerk (“the Service”), you agree to be bound by these Terms of Use and AI Services Agreement.

2. Description of the Service

myClerk is an AI-powered information and research platform designed to assist users in accessing, analysing and understanding publicly available information relating to local government, councils, public bodies and related matters.

3. No Professional Advice

The Service does not provide legal, financial, tax, planning, regulatory or professional advice.

Users must not rely upon myClerk as a substitute for advice from a qualified clerk, solicitor, accountant, planning consultant or other professional adviser.

4. AI Output Disclaimer

myClerk uses artificial intelligence and machine learning systems to generate responses.

Outputs are generated automatically and may contain inaccuracies, omissions, outdated information, incorrect interpretations of source material, or content that is otherwise unsuitable for reliance without independent verification.

5. Council Decision-Making Disclaimer

Users must not rely upon myClerk as the sole basis for any council decision, legal determination, procurement decision, planning matter, governance matter, financial decision, statutory duty, or regulatory compliance activity.

6. Source Material Disclaimer

Although myClerk may reference publicly available council documents, legislation, guidance, policies, minutes, agendas and reports, the Service does not guarantee that all relevant documents have been identified, retrieved, analysed or considered.

7. User Accounts

Users are responsible for maintaining the confidentiality of account credentials and all activity conducted through their account.

8. Acceptable Use

Users agree not to:

  • Use the Service unlawfully
  • Upload malicious software
  • Circumvent security measures
  • Attempt unauthorised access
  • Overload the platform
  • Submit fraudulent information
  • Reverse engineer the Service except where permitted by law

9. Uploaded Documents

Users are solely responsible for ensuring that uploaded documents may lawfully be uploaded, processed and analysed by myClerk and that doing so does not breach confidentiality obligations, copyright restrictions, contractual obligations, data protection laws or statutory duties.

10. Prohibited Uses

The Service must not be used as the sole basis for:

  • Legal advice
  • Employment decisions
  • Planning determinations
  • Procurement evaluations
  • Automated regulatory decisions
  • Activities requiring professional judgement

11. Personal Data

Use of the Service is subject to the myClerk Privacy Policy.

12. Intellectual Property

All intellectual property rights in the Service, software, databases, branding, documentation and functionality remain the property of myClerk or its licensors.

13. Availability

The Service is provided on an “as available” and “as is” basis.

We do not guarantee uninterrupted availability, accuracy, completeness or fitness for any particular purpose.

14. Beta Service Protection

The Service is an evolving technology platform. Features may change, be withdrawn, produce unexpected results or cease operation without notice.

15. No Duty of Care

No duty of care is owed by myClerk in respect of any response, recommendation, summary, interpretation, analysis or omission generated by the platform.

16. Limitation of Liability

To the fullest extent permitted by law, myClerk shall not be liable for:

  • Loss of profits
  • Loss of revenue
  • Loss of business opportunity
  • Loss of data
  • Loss of reputation
  • Indirect or consequential losses

In all circumstances, liability shall be limited to the greater of: (a) £100; or (b) the subscription fees paid by the user during the preceding twelve months.

17. Indemnity

Users agree to indemnify and hold harmless myClerk from claims arising from their use of the Service, uploaded content or breach of these Terms.

18. Suspension and Termination

myClerk may suspend or terminate access where misuse is suspected, these Terms are breached, or where necessary to protect the Service or other users.

19. Changes to These Terms

These Terms may be updated periodically. Continued use of the Service constitutes acceptance of the updated Terms.

20. Governing Law

These Terms shall be governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
